Terms of Service
1. Agreement to these Terms
By creating an account, checking the acceptance box presented during registration, accessing, or using the Service, you enter into a binding agreement with JP Aureon LLC and agree to these Terms and the Privacy Policy.
If you do not agree, do not create an account or use the Service.
These Terms are intended to apply to the maximum extent permitted by law. Nothing in them excludes or limits rights that cannot lawfully be excluded, including mandatory consumer or data-protection rights that apply in your country.
2. Who is protected by these Terms
References to the “Company Parties” mean JP Aureon LLC and, to the maximum extent permitted by law, its members, managers, officers, directors, employees, contractors, consultants, agents, representatives, affiliates, licensors, service providers, successors, and assigns.
Provisions in these Terms concerning disclaimers, releases, limitations of liability, indemnities, intellectual property, and protection of rights are intended to benefit the Company Parties where legally permitted.
No individual member, manager, administrator, employee, or contractor of JP Aureon LLC enters into these Terms personally merely because they operate, administer, develop, moderate, or support ShorePass.
3. Eligibility and adult users only
You must be at least 18 years old to create or use a ShorePass account. By registering, you confirm that you are 18 or older and legally capable of entering into these Terms.
ShorePass is designed primarily for adult maritime and hospitality professionals and other adult users of the Service. It is not directed to children.
You may not use the Service where use is prohibited by applicable law, where you are subject to sanctions or restrictions that make the Service unlawful, or while your account is suspended or terminated by us.
4. Your ShorePass account
You agree to:
- provide accurate information and keep it reasonably current;
- maintain control of your email address and any Apple/Google account linked to ShorePass;
- keep passwords, verification codes, and devices secure;
- promptly notify us if you reasonably suspect unauthorized account access;
- use only your own account and not sell, rent, sublicense, or transfer it to another person;
- not create accounts for impersonation, evasion of moderation, fraud, spam, scraping, or abusive automation.
You are responsible for activity carried out through your account to the extent permitted by law, except where the activity results from a security failure for which ShorePass is legally responsible.
ShorePass may support multiple sign-in methods linked to the same account. Connecting another sign-in method does not create a right to merge two separate existing ShorePass accounts. If a provider identity already belongs to another account, ShorePass may refuse the link.
5. What ShorePass currently provides
The current Service may include:
- port guides, venue information, and community tips;
- saved and visited port features;
- shore-leave planning, including an AI-assisted Shore Leave Planner;
- maritime profile, contract, sea-service, document-metadata, and certification tracking tools;
- Crew Lounge discovery, friends, one-to-one text messaging, blocking, and reporting;
- limited friend work-context and future-crossing features controlled by relationship and privacy rules;
- notifications;
- feedback, correction, and safety-reporting tools.
Features may differ by platform, region, account status, app version, and testing/release stage. ShorePass may add, modify, suspend, or remove features in accordance with Section 18.
Features that are not actually enabled in your version of ShorePass are not promised merely because they are mentioned in marketing, development materials, a roadmap, or an earlier document.
6. ShorePass is independent from your employer, ship, port, and authorities
ShorePass is an independent digital service. Unless expressly stated in writing for a specific arrangement, ShorePass and JP Aureon LLC are not your employer, cruise line, shipowner, ship manager, port authority, immigration authority, travel agent, medical provider, insurer, transport operator, tour operator, or government authority.
No profile badge, ship/company field, community statement, or ShorePass status should be interpreted as verification by an employer, flag state, port state, maritime authority, or government unless the Service specifically identifies the verification source.
You remain responsible for complying with your employment obligations, shipboard rules, immigration/visa requirements, local law, port restrictions, safety instructions, and official vessel procedures.
7. Port, itinerary, venue, and transport information
Port, itinerary, venue, opening-hours, transport, map, distance, pricing, and other destination information may come from third-party sources, community contributions, automated processing, or data that changes without notice.
Do not rely on ShorePass as the authoritative source for your ship's arrival, departure, gangway closure, or all-aboard time. Always follow the official information provided by your vessel, employer, master, officers, crew office, port, immigration authorities, or other responsible authority.
To the maximum extent permitted by law, the Company Parties are not responsible for loss arising from reliance on inaccurate, delayed, incomplete, or changed information supplied by third parties or users, including missed sailings, denied boarding, immigration issues, transport delays, venue closures, price changes, unsafe conditions, or missed reservations, except where liability cannot lawfully be excluded.
8. AI Shore Leave Planner
The AI Shore Leave Planner is an informational planning tool. When you choose to use it, ShorePass may send the planner information needed to generate your request to Anthropic, our third-party AI provider, as described in the Privacy Policy and the just-in-time AI disclosure shown in the Service.
You must not put passwords, passport or national-ID numbers, payment-card details, medical data, confidential ship information, passenger information, or other unnecessary sensitive data into Planner inputs.
AI-generated output may be wrong, incomplete, fabricated, outdated, culturally inappropriate, unavailable, or inconsistent with real-world conditions. You must independently verify material information before acting on it.
The Planner is not professional travel-agent advice, navigation advice, maritime-operational advice, immigration or visa advice, legal advice, medical advice, financial advice, or emergency assistance. It does not replace official ship instructions or your own judgment.
To the maximum extent permitted by law, the Company Parties are not liable for decisions or losses resulting solely from reliance on AI-generated content where the Service clearly identifies the content as informational and the law permits such limitation.
9. Community tips and user-generated content
ShorePass allows users to contribute content such as tips, messages, profile information, feedback, and reports (“User Content”). You retain ownership of User Content you own.
You are solely responsible for User Content you submit and for ensuring that you have the rights and lawful basis necessary to submit it.
You must not submit User Content that:
- is illegal, fraudulent, deceptive, defamatory, threatening, harassing, hateful, discriminatory, or exploitative;
- sexually exploits or endangers any person;
- promotes violence, terrorism, criminal activity, or dangerous wrongdoing;
- infringes copyright, trademark, privacy, publicity, confidentiality, trade-secret, or other rights;
- impersonates another person or falsely claims authority, rank, employer affiliation, or verification;
- contains spam, malicious links, malware, credential theft, scams, pyramid schemes, or unauthorized commercial solicitation;
- reveals another person's private data without a lawful reason;
- contains confidential employer, passenger, crew, vessel-security, access-control, manifest, restricted-area, or operational information that you are not authorized to disclose;
- creates a material safety or security risk to a vessel, port, crew member, passenger, or third party;
- intentionally provides dangerous or materially false port/safety information.
ShorePass may remove, restrict, de-rank, reject, preserve, or refer User Content as reasonably necessary to enforce these Terms, protect safety, respond to reports, comply with law, or protect legal rights.
10. Licence you give ShorePass for User Content
When you submit User Content, you grant JP Aureon LLC a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, display, communicate, transmit, and otherwise use that User Content only as reasonably necessary to operate, secure, moderate, improve, and provide the Service; comply with law; and establish, exercise, or defend legal rights.
This licence includes the right to use service providers acting for ShorePass and to make content available to other users where the feature is designed to share it.
You do not transfer ownership of your User Content to ShorePass.
When User Content is deleted under the Service's deletion rules, this operational licence ends for the deleted content except to the extent a copy was already lawfully captured and must remain in restricted moderation evidence, a specific legal/preservation record, or another record ShorePass is legally entitled or required to retain.
11. Crew Lounge, friends, crossings, and messaging
ShorePass's current Crew Lounge social functionality is intended for ordinary professional/social interaction between adult users.
Current messaging is one-to-one text messaging; ShorePass does not promise group chat, media messaging, or other future social features unless they are actually enabled.
You must not use ShorePass messaging to:
- threaten, harass, stalk, exploit, or intimidate anyone;
- solicit unlawful services or transactions;
- distribute spam or bulk unsolicited messages;
- collect other users' personal data for unrelated commercial or surveillance purposes;
- evade a block, suspension, privacy setting, or safety restriction;
- transmit sensitive ship, passenger, employer, or security information you are not authorized to share.
Private messages are intended for conversation participants. However, they are subject to the limited reporting, moderation, preservation, and lawful-disclosure mechanisms described in the Privacy Policy.
ShorePass messaging is not an emergency service. Do not use it instead of shipboard emergency procedures, local emergency numbers, security teams, medical services, or law enforcement.
12. Privacy, discovery, and social settings
You are responsible for reviewing the privacy and social settings made available by ShorePass.
Depending on the current feature rules:
- discoverable/non-private profiles may appear in Crew Lounge search and suggestions;
- an exact known username or profile link may expose a limited non-private profile even where broad discovery is disabled;
- accepted friends may receive additional limited work context;
- future crossing information is controlled separately and may require the applicable relationship and sharing conditions.
ShorePass may change default settings for new accounts as the product evolves, but material changes affecting existing users' privacy will be handled in accordance with applicable law and the Privacy Policy.
13. Reporting, moderation, blocks, and investigations
You may be able to report users, specific messages, or conversations. Reporting must be made in good faith. Knowingly submitting false, retaliatory, fabricated, or abusive reports may itself violate these Terms.
ShorePass may review report-bound evidence and take action including warnings, content removal, feature restrictions, suspension, or termination.
ShorePass does not guarantee that every report will lead to action, that action will occur within a particular time, or that we will disclose investigative details to the reporter or reported person. We may withhold information to protect privacy, safety, fraud-prevention processes, legal rights, or an investigation.
Blocking or removing another user does not necessarily erase historical safety/moderation evidence already captured under the Privacy Policy.
14. Legal preservation and lawful requests
ShorePass may preserve narrowly scoped information where reasonably necessary for a valid legal, safety, regulatory, dispute, or compliance purpose. Under the current system, preservation is designed around specific messages or conversations rather than unrestricted subject-wide archiving.
We may disclose information in response to valid legal process as described in the Privacy Policy. We have no obligation to preserve or recreate data that was lawfully deleted before a valid preservation obligation arose.
Nothing in these Terms requires ShorePass to give a user advance notice of an investigation or legal request where notice is prohibited by law or would reasonably compromise safety, security, or a lawful investigation.
15. Third-party services, maps, providers, and external links
The Service may rely on or link to third-party products and data, including authentication providers, app stores, AI services, maps/places data, websites, and other external services.
Third-party services are not controlled by ShorePass merely because they are linked or integrated. Their own terms, fees, availability, data practices, eligibility requirements, and warranties may apply.
ShorePass does not guarantee a third-party product, venue, booking, price, discount, offer, transport service, or external website.
Where ShorePass later uses affiliate links, ShorePass may receive a commission if you complete a qualifying transaction. We will provide the disclosure required for the relevant link or feature. An affiliate relationship does not make ShorePass the seller or provider of the third-party product unless expressly stated.
16. Paid features and app-store purchases
ShorePass may offer paid features or subscriptions in the future or in selected releases. If a paid feature is offered, the price, billing period, trial terms, renewal terms, and cancellation method shown at purchase form part of your agreement for that purchase.
Where payment is processed by Apple, Google, or another authorized marketplace, that provider's payment and refund rules also apply. ShorePass does not receive or store your full app-store payment-card number merely because you buy a digital feature through the app store.
Nothing in this Section removes any refund, cancellation, or consumer right that cannot legally be excluded.
17. Notifications and communications
ShorePass may send service communications needed to operate your account, such as authentication, safety, moderation, account, and security messages.
Push notifications are subject to your device and platform permissions. You may disable push notifications through your device or available ShorePass settings, although this may prevent timely receipt of optional social notifications.
We will not treat your acceptance of these Terms as consent to unrelated direct marketing where separate consent or another legal basis is required.
18. Changes to the Service
We continually develop ShorePass. We may add, change, discontinue, restrict, or replace features where reasonably necessary for product development, security, legal compliance, third-party availability, cost, abuse prevention, or business reasons.
We do not promise that every feature will always be available, that every third-party integration will continue, or that the Service will be uninterrupted or error-free.
Where a change materially affects a paid entitlement or a non-waivable consumer right, we will handle the change as required by applicable law and the relevant store/payment rules.
19. Intellectual property
Except for User Content and third-party materials, ShorePass and its software, design, branding, logos, text, databases, selection/arrangement, and other materials are owned by or licensed to JP Aureon LLC and are protected by intellectual-property laws.
Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable licence to use the Service for its intended purposes.
You may not, except where law expressly permits it:
- copy or redistribute substantial parts of the Service or databases;
- scrape, harvest, or systematically extract ShorePass content or user data;
- reverse engineer, decompile, bypass, or interfere with security or access controls;
- use ShorePass data to build a competing database, service, AI training dataset, or user-surveillance product;
- remove proprietary notices or misuse ShorePass trademarks;
- access the Service by unauthorized automated means.
20. Feedback and suggestions
If you voluntarily send us suggestions, ideas, feature requests, or other feedback about ShorePass, you permit us to use that feedback without payment or obligation to you, provided we do not obtain ownership of personal data or User Content merely because it appears in feedback.
Do not include confidential information in feedback unless necessary for the support request.
21. Suspension and termination by ShorePass
We may restrict, suspend, or terminate access where we reasonably believe this is necessary because of:
- a material or repeated breach of these Terms;
- fraud, impersonation, spam, or abuse;
- threats to users, vessels, ports, systems, or the Company Parties;
- unlawful activity;
- attempts to bypass security, privacy, rate limits, blocks, or moderation;
- legal or regulatory requirements;
- use that creates material risk to ShorePass or other users.
Where appropriate and legally required, we will provide notice or an opportunity to appeal. We may act immediately where delay would create a security, safety, legal, or fraud risk.
Termination does not prevent us from retaining narrowly permitted evidence or enforcing provisions that by their nature survive termination.
22. Your account deletion
You may request deletion through the in-app deletion feature and through the external process described at https://shorepass.app/account-deletion.
Account deletion is intended to delete your ShorePass authentication identity and ordinary associated user data, not merely deactivate the account. The Privacy Policy describes the current deletion scope and narrow categories of safety/legal evidence that may lawfully survive deletion.
Deleting ShorePass does not automatically cancel a subscription managed independently by Apple, Google, or another marketplace. If paid subscriptions are offered, you may also need to cancel them through the relevant store.
If you later register again after deletion, the new registration is a new ShorePass account. You have no contractual right to restoration of the deleted profile, tips, messages, friendships, achievements, or other deleted account data.
23. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
The Company Parties do not make warranties or representations that:
- the Service will always be available, secure, uninterrupted, or error-free;
- community tips or profiles are accurate, lawful, complete, or current;
- venue, map, itinerary, pricing, opening-hours, transport, or weather-related information will be correct;
- AI output will be accurate, complete, safe, current, or suitable for your circumstances;
- another user is who they claim to be;
- use of ShorePass will result in employment, career advancement, travel savings, safety, or any particular outcome;
- defects will always be corrected immediately.
To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any equivalent implied terms.
This Section does not exclude warranties or consumer guarantees that applicable law makes mandatory.
24. Limitation of liability
To the maximum extent permitted by applicable law, the Company Parties will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses, or for loss of profits, business opportunity, goodwill, reputation, or data, arising from or relating to the Service, even if advised that such loss was possible.
To the maximum extent permitted by law, the aggregate liability of the Company Parties for all claims arising out of or relating to the Service during the 12 months preceding the event giving rise to the claim will not exceed the greater of:
- AED 500; or
- the amount you actually paid to JP Aureon LLC for ShorePass digital services during that 12-month period.
The limitations in this Section do not apply to liability that cannot lawfully be limited or excluded, including where applicable liability for fraud, wilful misconduct, or death or personal injury caused by negligence where such exclusion is prohibited.
If you are a consumer in the EEA, United Kingdom, or another jurisdiction that gives you mandatory statutory remedies, this Section applies only to the extent consistent with those rights. Nothing in these Terms limits ShorePass's liability for failure to perform obligations that mandatory law does not permit us to exclude.
25. Your responsibility and indemnity
You are responsible for losses caused by your unlawful conduct, infringement of another person's rights, misuse of the Service, or material breach of these Terms.
If you use ShorePass in the course of a business, professional enterprise, or other non-consumer capacity, you agree, to the maximum extent permitted by law, to defend, indemnify, and hold harmless the Company Parties from third-party claims, liabilities, damages, judgments, penalties, and reasonable legal costs arising from your unlawful User Content, infringement of third-party rights, fraud, misuse of ShorePass, or material breach of these Terms.
If you use ShorePass as a consumer, any indemnity applies only to the extent permitted by mandatory consumer law and only for loss reasonably attributable to your unlawful or wrongful conduct. Nothing requires a consumer to indemnify the Company Parties for the Company's own negligence, breach, or unlawful conduct.
26. Disputes between users and third parties
ShorePass may provide tools that facilitate interaction between users or links to third-party services, but ShorePass is not a party to ordinary disputes between users, employers, venues, transport providers, merchants, or other third parties unless JP Aureon LLC expressly enters into the relevant transaction.
To the maximum extent permitted by law, you release the Company Parties from claims arising solely from the independent conduct of another user or third party, except to the extent ShorePass itself is legally responsible for the relevant harm.
This Section does not affect any mandatory right you have against ShorePass.
27. Governing law and dispute resolution
These Terms and your relationship with JP Aureon LLC are governed by the laws of the United Arab Emirates, without regard to conflict-of-laws rules, except to the extent mandatory law in your place of residence applies notwithstanding this choice.
Before starting formal proceedings, you and ShorePass agree to make a reasonable good-faith effort to resolve the dispute by contacting hello@shorepass.app and providing enough information to understand the issue. This informal step does not prevent either party from seeking urgent relief or exercising a statutory right within a required deadline.
Subject to mandatory consumer-jurisdiction rules, the courts with competent jurisdiction in Sharjah, United Arab Emirates will have jurisdiction over disputes arising from these Terms or the Service.
If you are an EEA, UK, or other protected consumer, nothing in this Section deprives you of the protection of mandatory laws of your habitual residence or any right to bring proceedings in a court that applicable consumer law makes available to you.
28. Changes to these Terms
We may update these Terms to reflect changes in the Service, law, security, business operations, or third-party requirements.
The current Terms will be published at https://shorepass.app/terms with the effective date and version number. We may maintain archived versions.
For material changes that require renewed acceptance, we will provide notice and ask you to accept the new Terms before continuing to use affected account features. Non-material changes, such as corrections or clarifications that do not materially reduce your rights, may become effective upon publication or the date stated in the updated Terms, subject to applicable law.
29. General legal terms
29.1 Entire agreement
These Terms, the Privacy Policy, and any additional terms expressly presented for a specific paid feature or transaction form the agreement between you and JP Aureon LLC concerning the Service and replace prior general terms on the same subject.
29.2 Severability
If a provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Where legally permitted, an invalid provision may be interpreted or modified only as much as necessary to make it enforceable while preserving its purpose.
29.3 No waiver
A failure to enforce a provision is not a waiver of that provision or any later breach.
29.4 Assignment
You may not assign or transfer these Terms or your ShorePass account without our written consent. We may assign these Terms in connection with a merger, reorganization, financing, sale of business/assets, or transfer of the Service, subject to applicable law and the Privacy Policy.
29.5 Force majeure
To the extent permitted by law, ShorePass is not liable for delay or failure caused by events beyond reasonable control, including internet or cloud outages, cyberattacks despite reasonable safeguards, natural disasters, war, civil disturbance, government action, sanctions, labour disruption, third-party platform outages, or failures of telecommunications or app-store infrastructure.
29.6 No agency or employment relationship
These Terms do not create a partnership, joint venture, agency, fiduciary relationship, or employment relationship between you and JP Aureon LLC.
29.7 Headings
Headings are for convenience and do not limit the meaning of these Terms.
30. Apple-specific terms for iOS users
If you obtain ShorePass through Apple's App Store, the following applies to the extent required by Apple's terms:
- these Terms are between you and JP Aureon LLC, not Apple;
- JP Aureon LLC, not Apple, is responsible for ShorePass and its content, subject to these Terms and applicable law;
- Apple has no obligation to provide maintenance or support for ShorePass;
- if ShorePass fails to conform to an applicable warranty that cannot be disclaimed, you may notify Apple and Apple may refund the purchase price, if any, as required by Apple's rules; to the maximum extent permitted by law, Apple has no other warranty obligation for ShorePass;
- JP Aureon LLC, not Apple, is responsible for addressing claims relating to ShorePass, including product-liability, legal/regulatory, and intellectual-property claims, to the extent allocated under applicable law;
- you represent that you are not located in a country subject to an applicable U.S. Government embargo or designated as a prohibited/terrorist-supporting country and are not listed on an applicable U.S. Government prohibited or restricted-party list, to the extent Apple's terms require this representation;
- you must comply with applicable third-party terms when using ShorePass;
- Apple and its subsidiaries are third-party beneficiaries of this Section and, upon your acceptance of these Terms, may enforce the Apple-specific provisions against you as permitted by Apple's rules.
Nothing in this Section makes Apple responsible for obligations that applicable law places on JP Aureon LLC.
